The proposed acquisitions will expand NHC Foods’ presence across sourcing, processing, distribution and consumer-facing food and beverage operations.
NHC Foods Ltd has approved plans to acquire controlling stakes in Lotmor Brands Pvt Ltd and Walya’s Beverages Pvt Ltd, marking an expansion of its presence across India’s food and beverage value chain. Under the proposed transactions, NHC Foods will acquire up to 88% of Lotmor Brands and up to 80% of Walya’s Beverages.
The consideration for the acquisitions may be paid in cash or through the issue of NHC Foods equity shares at ₹6.50 per share. The transaction terms also provide for the possibility of determining the price after six months in accordance with applicable SEBI ICDR regulations.
Lotmor Brands has an established presence across more than 20 states and 22,000 retail outlets, with distribution relationships involving retailers such as Reliance Smart and D’Mart as well as quick-commerce platforms. The company operates in food and beverages and has capabilities spanning trading and manufacturing.
Walya’s Beverages, incorporated in 2021, is involved in the manufacturing, trading, wholesale, import and export of food and beverage products. NHC Foods said the business can broaden its product and market reach as the company expands further into the food and beverage segment.
The proposed acquisitions follow NHC Foods’ earlier collaboration with Lotmor Brands. In a previous filing, the company disclosed an agreement that gave NHC Foods rights to manufacture beverages and related products under Lotmor’s Nature Day brand, supporting its move beyond agricultural commodities and exports into India’s organised retail and packaged beverage market.
NHC Foods Managing Director Satyam Shirishchandra Joshi said the company intends to integrate the acquired businesses with its existing operations rather than run them separately. The stated approach is to strengthen connections between sourcing, processing, distribution and end markets while making greater use of the company’s existing capabilities and relationships.
The financial scale of the two target companies remains relatively small based on their disclosed recent turnover. Lotmor Brands reported turnover of about ₹1.80 crore in FY2024-25, while Walya’s Beverages reported approximately ₹0.22 crore during the same financial year. The proposed transactions therefore represent an effort to build additional capabilities and distribution reach alongside NHC Foods’ existing operations.
The acquisitions, once completed, would give NHC Foods controlling positions in two businesses operating across different parts of the food and beverage segment. The company’s expansion reflects its broader effort to participate in more stages of the food value chain, from sourcing and manufacturing through distribution and consumer markets.
